1. Agreement to Terms
Welcome to DigiERP. These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and DigiERP (“we,” “us,” or “our”), concerning your access to and use of our SaaS platform, websites, and tenant workspaces.
By accessing the Site, you agree that you have read, understood, and agree to be bound by all of these Terms & Conditions. If you do not agree with all of these terms, you are explicitly prohibited from using the platform, and you must discontinue use immediately.
2. Account Registration and Sovereign Nodes
To access the DigiERP operating system, you must initiate an administrative Node account. DigiERP guarantees absolute database isolation at the architectural level. You are responsible for safeguarding your administrative credentials, your assigned tenant subdomain workspace, and all activities associated with your sovereign database node.
We reserve the right to remove, reclaim, or change a subdomain or tenant identifier you select if we determine, in our sole discretion, that such identifier is inappropriate, obscene, or otherwise objectionable, or infringes upon another entity's trademark.
3. Intellectual Property Rights
Unless otherwise indicated, the platform, the website, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
Except as expressly provided in these Terms & Conditions, no part of the Site or platform may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
4. Subscription Billing, Upgrades, & Cancellations
DigiERP operates on a recurring subscription model billed monthly or annually, based on the node configurations and active user scales. All fees are exclusive of applicable taxes. Subscriptions automatically renew unless explicitly canceled through your tenant billing panel before the billing period concludes.
You may cancel your subscription at any time. Upon cancellation, your database node remains active until the end of your current billing cycle. Because database assets are physically isolated and dynamically provisioned, refunds for partial periods are not supported.
5. System Availability & Service Levels (SLA)
While DigiERP targets a 99.99% system uptime for provisioned nodes, we do not warrant that the service will be uninterrupted or error-free at all times. Scheduled system maintenance and infrastructure upgrades are communicated via the administrative dashboard with at least 24 hours of advance notice.
